BUSINESS TERMS

Terms & conditions

These terms set out the basis on which we quote, build, connect, test and, where selected, manage PulseLeads automation services for business clients.

Last updated: 19 August 2026

1. About these terms

These terms apply between PulseLeads.co.uk (“PulseLeads”, “we”, “us” or “our”) and the person or organisation buying our services (“client”, “you” or “your”). Contact us at info@pulseleads.co.uk.

PulseLeads is offered for business and professional use. By accepting a quotation, paying an invoice, approving work to start or using a delivered workflow, you confirm that you have authority to bind the named client and agree to the quotation and these terms. If we expressly agree to supply a consumer, mandatory consumer rights remain unaffected.

A quotation, proposal, order summary or statement of work that we issue is called an Order. If an Order conflicts with these terms, the Order takes priority for that specific service.

2. Orders, scope and changes

An Order should identify the selected package, trigger sources, response channels, principal routing, deliverables, fee and any managed service. An Order becomes binding when we confirm acceptance after you approve it or make the requested payment.

Unless the Order says otherwise, a one-off setup includes discovery, configuration of the agreed workflow, connection to agreed compatible services, reasonable testing and handover. It does not include a full CRM, custom software product, unlimited copy revisions, migration of historic data, legal review, telecommunications services or ongoing maintenance.

Requests outside the agreed scope may require a revised fee or delivery date. We will explain the material effect and seek approval before carrying out chargeable additional work.

3. Your responsibilities

You agree to:

  • provide accurate requirements, authorised access, working credentials, suitable test information and timely decisions;
  • maintain the accounts, subscriptions, permissions, balances, telephone numbers, domains and provider services required by the workflow;
  • review and approve message content, recipient rules, timings, routing and escalation before the workflow goes live;
  • ensure you have a lawful basis and provide all required notices or choices for personal information and electronic communications;
  • avoid supplying special-category, criminal-offence or other unusually sensitive data unless we have expressly agreed appropriate safeguards in writing;
  • operate the service lawfully and not use it for spam, harassment, deception, unlawful discrimination, prohibited content or infringement of another person’s rights; and
  • keep your credentials secure and tell us promptly about suspected compromise, misrouting or unauthorised use.

Delivery dates depend on your cooperation and on third-party providers. We are not responsible for delay caused by missing access, information, approval, payment or a provider outside our control.

4. Fees, payment, delivery and acceptance

Fees are those in the accepted Order. Unless stated otherwise, prices exclude VAT if VAT becomes applicable and exclude third-party SMS, email, telephone, hosting, automation or software usage charges. Those provider charges are payable by you directly or recharged where agreed.

One-off setup fees are normally due before build work begins. Managed service fees are billed monthly in advance. Undisputed invoices must be paid by their stated due date. We may pause work or a managed service while an overdue amount remains unpaid after reasonable notice.

“24 to 48 hours” is our target build window after we have received payment, required access, complete information and approval to proceed. It is not a guarantee where a provider review, technical incompatibility or client dependency causes delay.

We will ask you to review the agreed primary workflow. Unless you report a material failure against the Order within five business days after delivery, the setup will be treated as accepted. This does not remove our obligation to correct a defect covered by section 8.

5. Third-party platforms and communications

Workflows may depend on third-party platforms such as automation, hosting, forms, email, SMS, telephone, calendars or CRMs. Those services are supplied under their own terms, privacy notices, pricing, quotas and acceptable-use rules. You authorise us to configure the agreed services on your behalf and to disclose the minimum information required to run the workflow.

We do not control provider outages, number filtering, spam detection, carrier delivery, API changes, account suspension, price changes or feature withdrawal. We will use reasonable care when selecting and configuring integrations, but do not warrant uninterrupted or guaranteed message delivery.

You remain responsible for the content and destination of outgoing communications. We may refuse or suspend a workflow that appears unlawful, unsafe, abusive or likely to damage provider or network reputation.

6. Data protection and confidentiality

Each party will comply with applicable data-protection and electronic- communications law. For client lead data processed solely to provide the service, you normally act as controller and we act as processor. We will process that data on documented instructions, keep it confidential, use appropriate safeguards, restrict access and engage subprocessors subject to appropriate obligations.

Where required, the parties will enter into additional data-processing terms covering subject matter, duration, nature and purpose, data types, data subjects, security, subprocessors, rights assistance, incidents, audits and deletion or return. You authorise the categories of providers needed to deliver the agreed workflow, subject to our obligation to remain responsible for their processing as required by law.

Each party must protect the other’s non-public commercial, technical and customer information and use it only for the agreement. This obligation does not apply to information that is public without breach, already lawfully known, independently developed or required to be disclosed by law. Our separate Privacy notice explains our controller processing.

7. Intellectual property

Each party keeps ownership of materials, branding, data, know-how, software and intellectual property it owned or developed independently of the Order. You grant us a limited licence to use your materials only as needed to perform the service.

After full payment, you may use, operate and modify the client-specific workflow configuration and message copy delivered under the Order for your own business. We retain ownership of our reusable methods, templates, connectors, utilities, general know-how and improvements that do not disclose your confidential information. Any third-party software remains subject to its own licence.

Unless you agree otherwise, we will not use your name, logo or results in public marketing without permission.

8. Support, corrections and service promises

We will perform the services with reasonable care and skill. For a one-off setup, if you report within 14 days of delivery that the agreed workflow materially fails to match the Order, we will use reasonable efforts to correct the configuration without an additional setup fee. This does not cover later provider changes, altered credentials, edited workflows, insufficient account balance, misuse or new requirements.

A Managed Response plan includes the monitoring, maintenance and message update described in its Order. It does not guarantee continuous uptime or immediate resolution. Support priority and practical response depend on severity, access and provider availability.

9. Liability

Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, business opportunity or data, except where such loss is a direct and foreseeable result of a breach and cannot lawfully be excluded.

Subject to the first paragraph of this section, our total aggregate liability arising out of or connected with an Order will not exceed the total fees paid or payable to us under that Order during the 12 months before the event giving rise to the claim. For a one-off setup with no managed service, the cap is the setup fee paid. Each party must take reasonable steps to reduce avoidable loss.

We are not liable for failure caused by events beyond reasonable control, including provider, carrier, internet or utility failure, cyberattack despite reasonable safeguards, changes in law, industrial action, natural events or acts of government. We will take reasonable steps to reduce the effect and resume performance.

10. Suspension, cancellation and termination

Either party may end a monthly Managed Response plan by giving notice before the next billing date, unless the Order specifies a different notice period. Fees already due for the current billing period are not refunded merely because the service is ended part-way through that period.

Either party may end an agreement immediately if the other commits a material breach that cannot be remedied, or fails to remedy a remediable material breach within 14 days after written notice. We may suspend or end service sooner where continued operation creates a credible legal, security, abuse or provider-compliance risk.

On termination, outstanding amounts become payable, each party must return or delete confidential material as reasonably required, and you should export anything you need from third-party services. Provisions intended to survive—including confidentiality, intellectual property, liability, accrued rights and governing law—will continue.

11. General legal terms

Neither party may transfer the agreement without the other’s written consent, not to be unreasonably withheld, except that we may transfer it with our business or relevant assets. We may use suitably qualified subcontractors while remaining responsible for our obligations.

The agreement is the entire agreement about its subject matter and replaces earlier discussions or representations, but does not exclude liability for fraud. A delay in enforcing a right is not a waiver. If a provision is invalid, it will be adjusted or removed only to the minimum extent necessary and the remainder continues. No person other than the parties has a right to enforce the agreement under the Contracts (Rights of Third Parties) Act 1999.

Notices about breach or termination must be sent in writing to the most recent business or email address notified by the receiving party. We may update website-use terms prospectively, but an accepted Order will not be materially changed without agreement except where necessary to comply with law or address a security risk.

The agreement and any non-contractual dispute are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, although the parties should first try in good faith to resolve a dispute through direct discussion.
